THIS IS A LEGALLY ENFORCEABLE, BINDING CONTRACT (THE “AGREEMENT”) EXECUTED BETWEEN YOU (INDIVIDUALLY AND AS AN AUTHORIZED AGENT ON BEHALF OF ANY ENTITY OR ORGANIZATION YOU REPRESENT, COLLECTIVELY “USER”, “YOU”, OR “YOUR”) AND DOWNTOAD.COM MEDIA SYSTEMS, ITS FOUNDERS, OPERATORS, SYSTEM ADMINISTRATORS, HOSTING INFRASTRUCTURE AFFILIATES, OFFICERS, AGENTS, AND SOFTWARE MAINTAINERS (COLLECTIVELY “DOWNTOAD.COM”, “THE OPERATOR”, “WE”, “US”, OR “OUR”).

By accessing the DownToad.com domain, querying its network proxies, retrieving its graphical interfaces, invoking its transcoding engines, submitting any uniform resource locator (“URL”) to the service, or initiating any ephemeral payload download, you irrevocably, unconditionally, and affirmatively acknowledge that you have read, understood, and agreed to be bound by every term, covenant, warranty, representation, indemnity, liquidated damages clause, and limitation of liability contained herein.

IF YOU DO NOT AGREE WHOLEHEARTEDLY AND UNRESERVEDLY TO EVERY SINGLE COVENANT AND PROVISION SET FORTH IN THIS INSTRUMENT, YOU ARE EXPRESSLY PROHIBITED FROM ACCESSING DOWNTOAD.COM, SENDING PACKETS TO ITS SERVERS, OR EXECUTING ANY SOFTWARE CALLS, AND YOU MUST IMMEDIATELY CEASE AND DESIST FROM ALL USE AND TERMINATE YOUR SESSION.

§ 2. User Representations, Warranties & Sworn Affirmation of Authority

Every single invocation of DownToad.com represents an active, sworn legal representation and warranty by you, under penalty of civil liability and perjury, that:

  1. Affirmative Proof of Ownership or Clear License: You represent and warrant that you are either (i) the sole, undisputed proprietary owner of the intellectual property embodied in the media you seek to process; (ii) the holder of an express, written, verifiable copyright license from the legitimate copyright holder authorizing format-shifting, local preservation, or private archival; or (iii) the subject media is indisputably in the Public Domain within your jurisdiction of residence and within the United States of America.
  2. Zero Editorial Intermediation: You acknowledge that DownToad.com does not pre-screen, monitor, verify, authenticate, audit, curate, or exercise editorial control over any URL input into the platform. You alone initiate, parameterize, select, and direct the automated extraction process.
  3. Legal Age & Capacity: You represent and warrant that you are at least eighteen (18) years of age (or have attained the age of legal majority in your jurisdiction) and possess full legal capacity and competence to execute this binding contract.
  4. Compliance With Third-Party Terms: You warrant that your use of this utility does not breach any contract, term of service, or statutory duty owed to any content provider or telecommunications carrier.

§ 3. Sole and Exclusive Personal, Civil & Criminal Liability of the User

You acknowledge, agree, and covenant that you bear Sole and Exclusive Liability for all activities, requests, and payloads processed through your session, client connection, user agent, or IP address:

DownToad.com acts strictly as a completely passive, ephemeral computational intermediary and format converter. Under no legal theory—whether direct infringement, contributory infringement, vicarious liability, inducement, enterprise liability, agency, or joint tortfeasorship—shall DownToad.com be held responsible for the legality, character, provenance, or copyright status of any audio or video stream you instruct the engine to process.

Should any third-party copyright owner, regulatory agency, or prosecutor assert any claim or initiate legal action regarding any URL submitted or downloaded through your session, you agree to immediately intervene, assume total liability, and hold DownToad.com harmless to the fullest extent permitted by law.

§ 4. Uncompromising Anti-Piracy Directives & Respect for Creator Rights

DownToad.com is built on the foundational principle of honoring the labor, artistic genius, creative sacrifice, and proprietary economic investments of creators, videographers, independent journalists, musicians, educators, authors, and production companies worldwide.

Users must at all times respect creators' efforts and moral integrity. You agree that you will not submit any URL to DownToad.com if such submission constitutes or facilitates:

  • The unauthorized duplication or dissemination of commercially available cinematographic films, television broadcasts, subscription pay-per-view broadcasts, or commercial music records;
  • The theft or unlawful format-shifting of protected content distributed through subscription-gated digital storefronts;
  • Any act that deprives content creators of their rightful compensation, advertising revenues, royalties, or statutory licensing fees;
  • Any infringement of the moral rights (droit moral) or economic exploitation rights of content authors.

§ 5. Condemnation of Intellectual Property Theft & Unauthorized Distribution

Intellectual property theft is an attack on the creative economy and a direct violation of United States federal law (including Title 17 and Title 18 of the United States Code) as well as international treaties (including the Berne Convention for the Protection of Literary and Artistic Works and the WIPO Copyright Treaty).

DownToad.com affirmatively rejects any use of its architecture that diminishes creator royalties, bypasses content creator monetization models, or enables unlawful distribution networks. Users found to be systematically targeting copyrighted commercial catalogs or music libraries will have their network connections permanently blacklisted and their activities reported to legitimate statutory authorities where mandated.

§ 6. Absolute Prohibition of Commercial Use, Syndication, Resale & Exploitation

DownToad.com is strictly licensed to end-users solely for personal, private, non-commercial, non-syndicated, and bona fide academic educational purposes.

ANY COMMERCIAL USE WHATSOEVER IS CATEGORICALLY, ABSOLUTELY, AND UNEQUIVOCALLY PROHIBITED.

Without limiting the generality of the foregoing, you strictly agree, warrant, and covenant that you shall NOT, directly or indirectly:

  • Sell, resell, lease, rent, license, sublicense, redistribute, syndicate, monetize, or publicly perform any media processed via DownToad.com;
  • Incorporate any media obtained via DownToad.com into any commercial software, advertisement, promotional campaign, commercial YouTube or social media channel, monetization scheme, or paid digital library;
  • Use DownToad.com as a backend utility, batch extractor, API pipeline, or scraping pipeline for any commercial enterprise, corporate media monitoring service, intelligence gathering firm, hedge fund, or for-profit agency;
  • Host, mirror, or create public repositories, torrent seeds, cyberlockers, or direct-download indexing mirrors of transcoded content;
  • Charge fees, solicit donations, or demand remuneration of any kind from any third party in exchange for media generated or transcoded through DownToad.com;
  • Share or distribute any content to third parties when you lack express, verified legal permission or written licensing from the copyright holder to engage in such sharing or distribution.

§ 7. Liquidated Damages for Breach of Commercial Prohibition ($100,000 USD)

You recognize that the unauthorized commercial utilization of DownToad.com causes severe, irreversible damage to the goodwill, infrastructure, and legal standing of the Operator, the full economic impact of which is difficult to quantify precisely.

§ 8. Strictly Confined Personal, Archival & Academic Educational Fair Use Safe Harbor

DownToad.com is intended exclusively to serve as a personal digital tool for:

  1. Private Offline Archival: Allowing individual end-users to maintain an offline, local copy of video or audio that they have lawful access to view, strictly for their personal, non-commercial private playback on portable consumer devices without internet connectivity.
  2. Bona Fide Academic & Educational Use: Permitting teachers, scholars, professors, and students to extract brief pedagogical clips or audio quotations strictly for classroom instruction, scholarly critique, commentary, or research in accordance with the statutory Fair Use doctrine codified at 17 U.S.C. § 107.
  3. Creator Backup & Verification: Enabling original content creators, vloggers, and videographers to preserve and download backup copies of their own original uploaded works across multi-platform deployments.

§ 9. Technical Neutrality, Dual-Use Utility & The Supreme Court Sony Doctrine

DownToad.com operates strictly as a general-purpose, dual-use format conversion, stream multiplexing, and media transcoding computational engine. Under the landmark United States Supreme Court doctrine established in Sony Corp. of America v. Universal City Studios, Inc., 464 U.S. 417 (1984), technologies capable of substantial, non-infringing uses are lawful per se.

DownToad.com possesses substantial, legitimate, non-infringing utilities, including without limitation:

  • Allowing creators to transcode, downsample, and archive their own original footage for off-grid editing, backup verification, and multi-format testing;
  • Preserving public domain works, government archival records, open-license educational lectures (e.g., MIT OpenCourseWare, Khan Academy, Wikipedia Commons), and non-commercial open-access research;
  • Transcoding Creative Commons (CC-BY, CC-SA, CC0) licensed video files into lightweight mobile formats for users with constrained cellular bandwidth in developing regions;
  • Assisting educators, researchers, and students in extracting brief, illustrative excerpts strictly under the statutory Fair Use doctrine codified at 17 U.S.C. § 107.

DownToad.com maintains absolute technical neutrality. The Operator does not encourage, solicit, prioritize, rank, index, curate, or recommend any copyrighted URL or content repository.

§ 10. Strict Prohibition Against Circumvention of TPMs and DRM (17 U.S.C. § 1201)

The Digital Millennium Copyright Act, codified at Title 17 of the United States Code, Section 1201, strictly prohibits the circumvention of technological protection measures (“TPMs”) that effectively control access to copyrighted works.

DownToad.com DOES NOT provide, contain, distribute, or operate any software, algorithm, decryption cipher, or mechanism designed to circumvent, bypass, remove, deactivate, or impair any DRM architecture, including but not limited to Widevine, FairPlay, PlayReady, Apple DRM, Nagravision, or encrypted High-bandwidth Digital Content Protection (“HDCP”).

You represent, warrant, and covenant that:

  • You shall NEVER submit any link or stream protected by active digital rights management encryption, token-gated paywalls, geo-filtering restrictions, or proprietary scramblers;
  • You shall never utilize DownToad.com to bypass authentication mechanisms, paywall barriers, or subscription-tier access controls of services such as Netflix, Hulu, Disney+, Amazon Prime Video, HBO Max, Spotify, Apple TV+, or any analogous subscription-gated digital distributor;
  • DownToad.com extracts only unencrypted, publicly broadcast, natively streamable media protocols provided openly by web servers. Any attempt to use this tool to penetrate cryptographic security measures constitutes an immediate breach of this Agreement and a violation of federal law.

§ 11. Transient Ephemeral Digital Network Communications (17 U.S.C. § 512(a))

DownToad.com qualifies for and operates in full compliance with the statutory safe harbor for digital network communications providers codified at 17 U.S.C. § 512(a):

  1. The transmission of material is initiated solely by and at the direction of the end-user, not by DownToad.com;
  2. The automated routing, format conversion, and ephemeral delivery are carried out through an automatic technical process without selection of the material by DownToad.com;
  3. DownToad.com does not determine or select the recipients of the material;
  4. No copy of the material made by the service provider in the course of such intermediate or transient storage is maintained on the system or network in a manner ordinarily accessible to anyone other than anticipated recipients; and
  5. The material is transmitted through the system or network without modification of its substantive content.

§ 12. Zero Video Hosting, Ephemeral Buffer Architecture & Statutory URL Audit Retention Disclosure

DownToad.com does not host, store, index, or archive user-submitted video or audio files. Our architecture operates as a strictly transient, real-time computational pipeline under 17 U.S.C. § 512(a):

We will permanently block, blacklist, and terminate access, session credentials, and originating IP ranges of any user, client, or network source demonstrably determined to be repeatedly engaging in copyright infringement, automated scraping, or unauthorized stream-ripping of copyrighted assets.
